These Terms and Conditions (the “Terms”) govern your access to and use of our website, online store, and all related services, digital products, tools, and features (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services.
1. Eligibility and Account Access
By agreeing to these Terms, you confirm that you are of legal age in your country of residence and fully capable of entering into binding contracts. If you allow a minor to use the Services on your device, you accept full responsibility for their use.
To purchase products, you may be required to provide information such as your email address, billing details, and payment information. You warrant that all information you submit is accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2. Digital Products (eSIMs)
Simbul eSIM exclusively sells digital products, including eSIM data packages for mobile devices.
We make every effort to display product information accurately; however, digital presentation may vary depending on your device or software. Actual performance (such as network speed or coverage) may vary by location, device compatibility, or the mobile operator providing connectivity.
Product descriptions, features, and prices may be changed or discontinued at any time without notice.
3. Orders and Contract Formation
By placing an order, you submit an offer to purchase a digital product. We reserve the right to accept or decline any order at our discretion.
A contract is formed only when we send you an order confirmation email.
You are responsible for reviewing your order before checkout. After a digital product is delivered or activated, your right to cancel may no longer apply (see our Refund Policy for details).
Purchases are for personal use only, not for commercial resale.
4. Pricing and Billing
Prices may change at any time without notice. Taxes, fees, and currency exchange charges may apply depending on your location.
By making a purchase, you agree to provide valid, complete, and accurate payment information and authorize us (and Shopify, our payment processor) to charge the full order amount.
You agree to promptly update your account and billing information as needed.
5. Delivery of Digital Products
All products are delivered digitally, typically immediately after successful payment. Delivery may occur via:

email (QR code, activation details),

instant website display, or
-
access inside your account.
We are not responsible for delays caused by email providers, technical issues, device incompatibility, or circumstances outside our control.
Once delivered, the digital product is considered received and the risk of loss passes to you.

6. Intellectual Property
All content available through the Services—including trademarks, text, images, logos, audio/video content, design elements, and software—is owned by Simbul eSIM, our affiliates, or our licensors, and is protected by international intellectual property laws.
You may use the Services only for personal, non-commercial purposes. You may not copy, modify, distribute, publish, reverse engineer, or create derivative works from any part of the Services without our prior written consent.
“Simbul eSIM” and associated marks are trademarks of HaMi Technologies Limited.
“Shopify” and related marks are trademarks of Shopify Inc.
7. Third-Party Tools
We may provide access to third-party tools or integrations that we do not operate or control (e.g., telecom network partners, analytics services, or support widgets).
Such tools are provided “as is” without warranties of any kind. Your use of those tools is entirely at your own risk and subject to the third-party’s terms.
8. Third-Party Links and Content
Our Services may contain links to third-party websites or content. We are not responsible for reviewing or guaranteeing the accuracy or legality of such content.
Your interaction with any third-party provider is solely between you and that provider. We are not liable for damages or losses arising from such interactions.
9. Relationship with Shopify
Simbul eSIM uses Shopify to host and power the online store.
All purchases, customer relationships, and legal responsibilities are strictly between you and HaMi Technologies Limited, not Shopify.
You expressly release Shopify from any liability relating to your transactions with Simbul eSIM.
10. Privacy and Data Protection
All personal data is processed according to our Privacy Policy, which complies with:

applicable US privacy principles (e.g., CCPA-friendly transparency and consumer rights language)
Shopify acts as our hosting provider and processes certain personal data as described in its own Privacy Policy.
By using the Services, you consent to such processing and acknowledge that your data may be transferred internationally where necessary for operating our platform.
11. Feedback and User Content
If you submit feedback, ideas, suggestions, reviews, or other content (“Feedback”), you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, modify, reproduce, publish, and distribute it for any purpose.
You confirm that:

you own or have rights to the Feedback,

it does not infringe the rights of others, and

it contains no harmful or illegal content.
We may remove user content that violates these Terms.
12. Errors and Inaccuracies
The Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, or availability.
We reserve the right to correct such errors at any time, including after you have placed an order, without liability.
13. Prohibited Uses
You may not use the Services for unlawful, harmful, or abusive purposes, including:

Except where prohibited by law, the Services and all digital products are provided “as is” and “as available”, without warranties of any kind, express or implied.
This includes (but is not limited to) implied warranties of:

uninterrupted or error-free use,

network availability or performance.
Note for UK & EU consumers:
Statutory rights relating to digital content remain unaffected where they cannot be excluded under consumer law.
16. Limitation of Liability
To the fullest extent permitted by applicable law (including UK, EU, and US laws):
Simbul eSIM, HaMi Technologies Limited, our directors, employees, partners, agents, suppliers, service providers, and Shopify shall not be liable for any:

indirect, incidental, special, punitive, or consequential damages,

loss of profits, data, revenue, goodwill, or opportunity,

damages arising from your use or inability to use the Services or digital products.
Nothing in these Terms shall limit liability for:

death or personal injury caused by negligence,

fraud or fraudulent misrepresentation,

any liability that cannot legally be excluded under UK or EU consumer laws.
Some US states do not allow limitations of implied warranties or exclusion of incidental damages; in such jurisdictions, these limitations apply only to the extent permitted by law.
17. Indemnification
You agree to indemnify and hold harmless HaMi Technologies Limited, Simbul eSIM, Shopify, and our respective officers, employees, and agents from any claims, damages, liabilities, losses, or expenses arising from:

your violation of any laws or third-party rights.
18. Severability
If any provision of these Terms is found unlawful or unenforceable, the remaining provisions remain valid and enforceable to the fullest extent permitted by law.

These Terms, along with our policies (Refund Policy, Delivery Policy, Privacy Policy), constitute the entire agreement between you and us.
Our failure to enforce any provision does not constitute a waiver of that provision.
20. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign our rights at any time without restriction.
21. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales.
You agree to the exclusive jurisdiction of the courts of England and Wales.
EU consumers:
Mandatory consumer protection laws in your country of residence still apply.
US customers:
Nothing in these Terms limits rights that cannot be waived under applicable US state or federal consumer laws.

Section headings are for convenience only and do not affect the interpretation of these Terms.
23. Changes to These Terms
We may update or modify these Terms at any time. Updates will be posted on our website with the “Last updated” date.
Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
